OBJECTIVES
The
objective of the subject is to provide students with a basic
understanding of the legal environment in which corporations and
businesses operate with emphasis on the basic principles of laws
regulating the creation of contracts, the law of torts and the
formation of associations such as companies, agencies and partnerships.
(Lecturers and students should note that another subject, Corporate
Compliance & Practice, in the DCA course, deals with the regulatory
environment that applies to corporations.)
LEARNING OUTCOME
Upon completion of this subject, learners should be able to:
- identify and describe the role and functions
of the main institutions of the Malaysian legal system such as the
Federal Constitution, the parliament, the different types of courts and
their officials
- identify and appreciate the fundamental liberties guaranteed in the Federal Constitution
- describe the main sources of business laws and how these laws change to meet the needs of a changing world
- distinguish the different types of business organisations in
relation to their formation and the extent to which they limit the
liability of investors and directors
- apply basic principles of law to determine if legal obligations
have been created through contract and the consequences of not carrying
out those obligations
- describe the concept of negligence and identify circumstances in which an individual or corporation may be liable for negligence
- describe the main types of negotiable instruments and the way they are applied in business transactions.
SYNOPSIS
This
subject introduces student to business law in the areas of contract,
agency, partnership and employment and to apply these principles to
practical problems.
